The Ensors Corporate Finance team is pleased to announce their recent involvement in the sale of Cambridge based software developer, Trelica, to North American identity and security leader, 1Password.

Trelica’s software helps businesses streamline the management of Software as a Service (SaaS) applications by optimising license spend, and automating operational tasks such as employee on/offboarding, saving money, time and improving IT security posture.

The relationship with Trelica started in 2024 and Ensors have provided bookkeeping, accounts preparation, corporate tax support and payroll services leading up to this deal.

The sale of the business to 1Password, a global provider of privacy and access management software to millions of consumers, commenced in December and the transaction was quickly finalised and completed in early January.

The acquisition of Trelica by 1Password will accelerate the delivery of their first-to-market Extended Access Management platform which enables secure sign-in for every app across all devices.

Ensors Corporate Finance Partner, Simon Martin provided advisory services to Trelica and its shareholders, Iain McGhee and Richard Kirby, on their Locked Box accounts and the deal completion mechanism. Joanna Boatfield, Partner, delivered strategic tax advice throughout the deal.

Iain McGhee said: “Richard and I wanted to thank you [Simon] and Joanna for all of your support during this process. The sale of a business is obviously a stressful time anyway and doing it over the holidays only made things harder — but the Ensors team consistently went above and beyond, which was hugely appreciated.”

Simon Martin said: “I am delighted to have supported Iain and Richard during the process of this transaction. This is the second software deal to a North American buyer that Ensors supported in 2024 and everyone involved should be commended for achieving the desired outcomes for all parties within such a quick time frame. I look forward to witnessing the successful future of these combined businesses.”

Sale side legal advice was provided by James Allen and Corinne Spencer of Birketts.
